Terms of Service

1. Agreement

These Terms of Service (“Terms”) form a binding agreement between Infotex Media Private Limited (“Infotex”, “we”, “us”) and the organization or individual (“Customer”, “you”) that accesses Origin OS and related modules (collectively, the “Service”).

By signing in or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you use the Service on behalf of a company, you represent that you have authority to bind that company.

2. The Service

Origin OS is Infotex’s company operating system for media and entertainment teams. It may include Mission Control, Studio (AI filmmaking workflows), Growth Intelligence (marketing analytics and Google Ads project tools), Integration Center (connections and Secrets Vault), Poola TV administration, Client Hub, and other modules Infotex enables for your account.

Features may change, be added, or be discontinued. Beta or preview features are provided as-is and may be unstable.

3. Accounts & access

  • You must provide accurate account information and keep credentials confidential.
  • Administrators control roles, studio access, and module grants. You are responsible for activity under your organization’s accounts.
  • We may suspend access for security incidents, unpaid fees (if applicable), policy violations, or legal requirements.

4. Acceptable use

You agree not to:

  • Violate applicable law, including advertising, IP, privacy, and export laws.
  • Upload or generate unlawful, infringing, deceptive, or harmful content; or attempt to bypass safety, quota, or security controls.
  • Misuse third-party APIs connected through Origin OS, scrape the Service, or interfere with other customers’ use.
  • Use Google user data or Ads data obtained through the Service for any purpose other than operating Origin OS features you are authorized to use.
  • Create or run ads that violate Google Ads policies, YouTube policies, or other platform rules.

5. Customer content & licenses

You retain ownership of content you submit (“Customer Content”). You grant Infotex a worldwide, non-exclusive license to host, process, transmit, and display Customer Content solely to provide and secure the Service.

You represent that you have all rights needed for Customer Content and for any YouTube videos, brands, or creatives you promote through Growth Intelligence or other modules.

6. Third-party services & Google Ads

The Service integrates with third parties (Google, Cloudflare, Supabase, AI providers, email providers, and others). Your use of those services is also governed by their terms and policies. Infotex is not responsible for third-party outages, policy enforcement, pricing changes, or data handling outside our instructions to processors.

Google Ads & YouTube. When you authorize Google OAuth and configure Ads credentials, Origin OS may create, update, pause, or report on campaigns (including Demand Gen / YouTube promotions) using Google APIs. You remain the advertiser of record. You are solely responsible for campaign settings, budgets, bids, creatives, landing pages, targeting, compliance, and Google account billing.

Classic Video Views campaigns may require creation in Google Ads UI and linking inside Origin OS. Google may disapprove or limit ads; Origin OS cannot guarantee delivery, approval, or performance.

Google API use is also subject to the Google API Services User Data Policy and applicable Google product terms.

7. AI-generated content

Studio and related modules may send prompts and media to AI providers to generate images, video, audio, or text. Outputs may be inaccurate, biased, or non-unique. You are responsible for reviewing outputs before commercial use and for complying with provider terms and applicable law (including publicity and copyright).

8. Fees & third-party costs

Infotex may charge subscription or usage fees under a separate order form or invoice. Separately, you are responsible for costs billed by third parties (Google Ads media spend, Cloudflare storage, AI provider usage, email volume, etc.) linked to your credentials or accounts.

9. Confidentiality

Each party may access the other’s confidential information. The receiving party will protect it with reasonable care and use it only for performing under these Terms, except where disclosure is required by law.

10. Intellectual property

Origin OS, its software, branding, and documentation remain Infotex property. Except for the limited right to use the Service during your subscription/access period, no rights are granted. Feedback you provide may be used by Infotex without obligation.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, INFOtex DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, OR THAT INTEGRATIONS WILL ALWAYS SUCCEED.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INFOtex WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. INFOtex’S TOTAL LIABILITY ARISING OUT OF THESE TERMS WILL NOT EXCEED THE FEES PAID BY YOU TO INFOtex FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (OR INR 10,000 IF NO SUCH FEES APPLY).

Infotex is not liable for Google Ads spend, third-party API charges, or campaign performance outcomes.

13. Indemnity

You will defend and indemnify Infotex against claims arising from Customer Content, your ads/creatives, your misuse of the Service or third-party APIs, or your violation of these Terms or applicable law.

14. Suspension & termination

Either party may terminate access as permitted by contract or for material breach. Upon termination, your right to use the Service ends. We may retain data as described in the Privacy Policy. Sections that by nature should survive (including IP, confidentiality, disclaimers, liability limits, and indemnity) will survive.

15. Governing law

These Terms are governed by the laws of India, without regard to conflict-of-law rules. Subject to mandatory protections that cannot be waived, courts in New Delhi, India shall have exclusive jurisdiction over disputes arising from these Terms.

16. Changes

We may update these Terms by posting a revised version with a new “Last updated” date. Continued use after the effective date constitutes acceptance where permitted by law. If you disagree, stop using the Service and contact your Infotex administrator.
